3PL SERVICES AGREEMENT
BETWEEN Elivora Logistics, hereinafter referred to as the "First Party",
AND
[Second Party Company Name], hereinafter referred to as the "Second Party".
Both parties agree to the following terms and conditions:
1. Purpose of Agreement
The First Party agrees to provide Third-Party Logistics (3PL) services to the Second Party, including inventory receiving, storage, inventory management, order processing, packing, and dispatch services.
2. Scope of Services
The First Party will provide the following 3PL services to the Second Party:
- Receiving and checking incoming inventory
- Inventory storage and management
- Order picking and packing
- Labelling and dispatch coordination
- Inventory tracking and reporting
- Handling returns (if required)
3. Inventory Storage Policy
The Second Party is responsible for managing inventory turnover. If the Second Party's inventory remains stored for 14 days, the First Party will send a reminder notification to the Second Party.
If the inventory remains stored for 21 days, the First Party reserves the right to dispose of the inventory or transfer it to long-term storage at the Second Party's risk and cost if no action or instruction is received from the Second Party.
4. Responsibilities of the First Party
The First Party shall:
- Provide proper storage for inventory
- Maintain inventory records
- Process and dispatch orders on time
- Inform the Second Party about inventory status when required
- Send reminders for long-stored inventory (after 14 days)
5. Responsibilities of the Second Party
The Second Party shall:
- Provide correct inventory details and product information
- Provide proper shipping and order details
- Ensure timely movement or sale of inventory
- Respond to reminders regarding stored inventory
- Make payments for 3PL services as per agreed terms
6. Service Charges & Payment Terms
All 3PL service charges including storage, packing, handling, and dispatch will be charged as per the agreed quotation or price list. The Second Party agrees to make payments on time as per agreed payment terms.
7. Liability
The First Party will take reasonable care in handling and storing the inventory. However, the First Party shall not be responsible for loss or damage caused by fire, natural disaster, or any event beyond control unless caused by negligence of the First Party.
8. Termination
Either party may terminate this Agreement by giving written notice in advance. Upon termination, the Second Party must arrange removal of all inventory within the agreed time period.
9. Governing Law
This Agreement shall be governed by the laws of the State of Virginia.
10. Agreement Acceptance
By signing below, both the First Party and the Second Party agree to all terms and conditions stated in this Agreement.
